These Terms & Conditions ("Terms") govern access to and use of the Powerline Connect platform, website, applications, and related services (collectively, the "Services") provided by Powerline Connect Inc. ("Powerline Connect", "we", "our", or "us").

By accessing or using the Services, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The Services

Powerline Connect provides a software platform that enables companies to manage rosters, coordinate crews, and send operational communications, including SMS messages, to individuals associated with their organization.

Powerline Connect acts solely as a technology provider. We do not determine message recipients, message content, or the timing of communications sent by Customers.

2. Eligibility and Accounts

You represent that you are authorized to act on behalf of the business entity using the Services and that all information provided during account creation is accurate and current.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. SMS Messaging and Consent Responsibilities

3.1 Customer Responsibility

Customers are solely responsible for:

  • Determining whom they message using the Services
  • Obtaining and maintaining all required consent from individuals before sending SMS messages
  • Ensuring ongoing compliance with applicable laws and regulations, including but not limited to:
    • Canada's Anti-Spam Legislation (CASL)
    • The U.S. Telephone Consumer Protection Act (TCPA)
    • Applicable carrier and messaging provider requirements

Powerline Connect does not obtain, verify, or manage end-user consent on behalf of Customers.

3.2 Opt-Out Handling

Individuals may opt out of SMS communications at any time by replying STOP. Customers are responsible for honoring opt-out requests and ensuring no further messages are sent to opted-out recipients unless legally permitted.

3.3 Prohibited Messaging

Customers may not use the Services to send:

  • Marketing or promotional messages unrelated to work or operations
  • Spam, unsolicited, or deceptive messages
  • Messages that are unlawful, abusive, or harassing

Powerline Connect reserves the right to suspend or terminate access for violations of this section.

4. Representations and Warranties

You represent and warrant that:

  • You have obtained all necessary permissions and consents to upload contact information and send messages to individuals using the Services
  • Your use of the Services complies with all applicable laws and regulations
  • You will not use the Services for any unlawful or unauthorized purpose

5. Suspension and Termination

Powerline Connect may suspend or terminate your access to the Services at any time if we reasonably believe that:

  • You are violating these Terms
  • Your use of the Services poses legal, regulatory, or reputational risk
  • Required consent has not been obtained

Suspension or termination does not relieve you of responsibility for prior use of the Services.

6. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how information is collected, used, and protected. The Privacy Policy is incorporated into these Terms by reference.

7. Third-Party Services

The Services rely on third-party providers for underlying infrastructure and communications. Powerline Connect is not responsible for service interruptions or failures originating from such third-party providers.

9. Limitation of Liability

To the maximum extent permitted by law, Powerline Connect shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services, including claims related to SMS messaging or consent.

10. Indemnification

You agree to indemnify and hold harmless Powerline Connect, its officers, directors, and affiliates from any claims, damages, losses, or liabilities arising out of:

  • Your use of the Services
  • Your failure to obtain or honor required consent
  • Your violation of applicable SMS or communications laws

This section is a key requirement for platform-based messaging services.

11. Changes to the Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised "Last updated" date. Continued use of the Services constitutes acceptance of the updated Terms.
